Terms of Service

These Terms of Service govern your use of nexitelligence.com and the professional services provided by Nexitelligence, a machine learning and deep learning studio registered in Lahore, Punjab, Pakistan. By accessing the site or engaging our services, you agree to be bound by these Terms.

1. Services

Nexitelligence provides machine learning and deep learning development, data engineering, and technology consulting services to business clients. The specific deliverables, timelines, fees, and terms for any engagement are set out in a separate written Engagement Agreement signed by both parties. These Terms apply to all engagements and to use of the site. In the event of conflict, the Engagement Agreement governs. We reserve the right to decline any project at our sole discretion.

2. Use of the Site

You may access and use the site for lawful purposes. You must not attempt to gain unauthorized access to any part of the site or its infrastructure, use automated tools to scrape content without written consent, upload malicious code, engage in conduct that disrupts the site, misrepresent your identity, or use the site to send unsolicited commercial communications.

3. Intellectual Property

Site content

All content on this site is owned by Nexitelligence or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or commercially exploit any content without our prior written consent.

Client work product

Upon receipt of full payment, all deliverables created specifically for a client become the property of that client. This transfer does not include our pre-existing tools, frameworks, methodologies, or general expertise. We retain a non-exclusive, royalty-free license to use anonymized and aggregated learnings from your project to improve our services.

Feedback

If you provide feedback or suggestions, you grant us a worldwide, royalty-free, perpetual license to use that feedback for any purpose without obligation to you.

4. Confidentiality

Both parties agree to keep the other’s confidential information strictly confidential, to use it only for the purposes of the engagement, and not to disclose it to third parties without prior written consent. This obligation survives termination for five years. Confidential information does not include information already publicly known, independently developed by the receiving party, or required to be disclosed by law.

5. Representations and Warranties

We warrant that we have the right to enter into these Terms, that we will perform services with reasonable skill and care, and that to our knowledge our deliverables will not infringe third-party intellectual property rights. We do not warrant that any model will achieve specific performance metrics in all possible future operating conditions. Machine learning systems are probabilistic and performance depends on data quality, data distribution, and operating conditions that may change over time.

6. Limitation of Liability

To the fullest extent permitted by law, our total cumulative liability shall not exceed the fees paid by you in the three months preceding the claim. We shall not be liable for indirect, incidental, consequential, special, or punitive damages, or for failure or delay caused by circumstances beyond our reasonable control. Nothing in these Terms limits our liability for death or personal injury caused by negligence, or any other liability that cannot be limited by applicable law.

7. Indemnification

You agree to indemnify and hold harmless Nexitelligence and its employees, contractors, and officers from claims, liabilities, damages, and expenses arising from your breach of these Terms, your use of the site in violation of applicable law, data or content you provide that infringes third-party rights, or your use of our deliverables in a manner that violates applicable law.

8. Data and AI Ethics

You represent and warrant that any data you provide has been collected lawfully, that you have the rights to use it for the purposes of your engagement, and that its use will not violate applicable data protection law or the rights of any individual. We will not develop AI systems designed to engage in illegal discrimination, to deceive individuals in ways that harm them, or to facilitate activities that violate applicable law.

9. Payment Terms

Invoices are due within 14 days of issue unless otherwise agreed. Late payments accrue interest at 1.5 percent per month or the maximum rate permitted by Pakistani law, whichever is lower. We may suspend work where payment is overdue by more than 14 days.

10. Termination

Either party may terminate for material breach if not remedied within 14 days of written notice. Upon termination, you must pay for all work completed to date, we will deliver completed work product for which payment has been received, and each party must return or destroy the other’s confidential information. Provisions that by their nature survive termination will continue in effect.

11. Dispute Resolution

We prefer to resolve disputes informally. Please contact hello@nexitelligence.com first. If informal resolution fails, disputes shall be referred to binding arbitration in Lahore, Pakistan, conducted in English. Either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

12. Governing Law

These Terms are governed by the laws of Pakistan. Subject to the arbitration clause, both parties submit to the non-exclusive jurisdiction of the courts of Lahore, Punjab, Pakistan.

13. General

• Entire agreement. These Terms and any Engagement Agreement constitute the entire agreement between you and Nexitelligence.
• Severability. If any provision is found invalid, it shall be limited to the minimum extent necessary and remaining provisions remain in full effect.
• Waiver. Our failure to enforce any provision shall not constitute a waiver of our right to enforce it in the future.
• Assignment. You may not assign your rights without our prior written consent. We may assign our rights in connection with a merger, acquisition, or asset sale.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by an updated date. For active clients, we will provide at least 14 days’ notice of material changes.
